TubeAI ("we", "our", or "us") provides AI-powered tools for YouTube creators including thumbnail generation, script writing, analytics, and content optimization services ("Service"). TubeAI is operated by Tubeai Ltd, a company registered in England and Wales.

2. Acceptance of Terms

By creating an account and using TubeAI, you ("user" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

Your use of our Service also involves the processing of personal data as described in our Privacy Policy. Please review it carefully.

3. Data Collection and Privacy

By using our Service, you acknowledge that:

• You can disconnect your YouTube channel at any time; your YouTube data will be immediately deleted

6. Credit System and Payments

• Our Service operates on a pay-per-use credit system
• Credits are purchased in advance and do not expire
• Credit costs are clearly displayed before purchase
• All payments are processed securely through third-party payment providers
• Credits are non-refundable once used to generate content
• Unused credits may be refunded at our discretion within 14 days of purchase
• We reserve the right to adjust credit pricing with 30 days notice

7. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Generate content that violates YouTube's Community Guidelines or any applicable laws
• Generate content that is defamatory, obscene, hateful, or discriminatory
• Attempt to reverse engineer or compromise our AI systems or platform infrastructure
• Share, resell, or redistribute your account access
• Use automated systems to abuse our Service or circumvent credit limits
• Collect or harvest personal information from other users
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity or misrepresent your affiliation

8. Intellectual Property

• Your Content: You retain full ownership of content you create using our Service, including thumbnails, scripts, and other AI-generated materials
• Our Platform: We retain ownership of our AI models, algorithms, platform technology, branding, and all intellectual property rights
• License to Us: You grant us a limited, non-exclusive license to use your usage data (anonymized) to improve our Service
• Third-Party Content: You are responsible for ensuring you have the right to use any content you provide to our Service

9. AI-Generated Content

Regarding content generated by our AI tools:

• AI-generated content is provided "as is" and may require human review and editing
• You are solely responsible for reviewing and approving AI-generated content before use
• We do not guarantee the accuracy, quality, or suitability of AI-generated content
• You are responsible for ensuring AI-generated content complies with YouTube's policies and applicable laws
• We are not liable for any consequences arising from your use of AI-generated content

10. Service Availability

• We strive for high availability but do not guarantee uninterrupted service
• We may perform scheduled or emergency maintenance that temporarily affects service availability
• We reserve the right to modify or discontinue features with reasonable notice
• We are not liable for any service interruptions or downtime
• Early access features may be experimental and subject to change or removal

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

To the maximum extent permitted by law:

• TubeAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
• Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you

13. Indemnification

You agree to indemnify and hold harmless TubeAI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) content you create or upload using our Service.

14. Termination

• You may terminate your account at any time from your account settings
• We may suspend or terminate accounts that violate these terms without notice
• We may terminate or suspend the Service at any time with reasonable notice
• Upon termination, your right to use the Service immediately ceases
• Your data will be deleted as outlined in our Privacy Policy (typically within 30 days)
• Unused credits are forfeited upon account termination unless otherwise stated
• Provisions that should survive termination (including liability limitations) will continue to apply

We may update these Terms from time to time. We will notify you of significant changes via:

• Updated "Last updated" date at the top of these Terms

16. Governing Law and Disputes
